TERMS OF USE

1. Agreement

By accessing or using the website www.amkm.ae and any of its pages, content, or functionality (the "Site"), you confirm that you have read, understood, and agree to be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, you must exit the Site immediately and discontinue use.

AMKM (the "Office," "AMKM," "we," "us," "our") may amend, update, or replace these Terms at any time without prior notice. Your continued access to or use of the Site after any change constitutes acceptance of the updated Terms. You are advised to review these Terms each time you access the Site.

Access to the Site may be restricted, suspended, or terminated at any time, in whole or in part, without notice.

2. Private Office Status; No Public Offering; No Advice

2.1 Informational Purpose Only. The Site and all text, materials, statements, tools, documents, and other information made available on or through the Site (collectively, the "Content") are provided for general informational purposes only.

2.2 No Offer or Solicitation. Nothing on the Site constitutes, or shall be construed as, an offer, invitation, solicitation, advertisement, recommendation, or inducement to:

  • buy, sell, subscribe for, or otherwise deal in any securities, financial products, or investment instruments;
  • enter into any transaction or contractual relationship; or
  • provide capital to, invest alongside, or participate in any AMKM activity.

2.3 No Regulated Services. AMKM is a private family office/private office. AMKM does not operate as a public investment fund, a regulated financial institution, a broker/dealer, an asset manager for the public, a financial adviser, or any other regulated financial services provider, and does not provide regulated financial services through the Site.

2.4 No Advice. Nothing on the Site constitutes investment, legal, tax, accounting, regulatory, or other professional advice. You should obtain independent professional advice appropriate to your circumstances and jurisdiction.

2.5 No Client Relationship. Accessing or using the Site, or submitting any inquiry via the Site, does not create any advisory relationship, fiduciary duty, client relationship, partnership, agency, joint venture, or other relationship with AMKM.

3. Local Legal Restrictions; Eligibility to Access

3.1 The Content is not intended for distribution to, or use by, any person or entity in any jurisdiction where such distribution or use would be contrary to applicable law or regulation, or would require AMKM to obtain a license, registration, approval, or authorization.

3.2 You are solely responsible for determining whether your access to the Site is lawful in the jurisdiction from which you access it, and you must comply with all applicable laws and regulations.

3.3 AMKM may restrict access to the Site (or portions of it) at any time, including based on location, jurisdiction, or other criteria.

4. Engagement Channel; Submissions; No Confidentiality Undertaking by Default

4.1 Engagement is Selective. Any engagement with AMKM is reviewed with discretion and handled case-by-case. AMKM may, in its sole discretion, decide whether to respond, proceed, request additional information, or decline engagement.

4.2 Do Not Submit Sensitive Materials at First Contact. You should not submit confidential documents, sensitive information, or personal data beyond what is necessary for an initial inquiry. AMKM may request additional information later through an appropriate and controlled channel.

4.3 No Obligation to Review or Respond. AMKM is under no obligation to review, consider, accept, or respond to any inquiry, proposal, or submission.

4.4 Unsolicited Submissions. To the maximum extent permitted by law, any unsolicited ideas, proposals, concepts, materials, or information you submit through the Site or by email (collectively, "Submissions") are provided at your own risk and may be treated as non-confidential unless and until AMKM expressly agrees otherwise in writing (for example, via a signed non-disclosure agreement). AMKM shall have no liability arising from the receipt, review, use, or non-use of any Submissions.

4.5 Accuracy of Information. You represent that any information you provide to AMKM through the Site is true, accurate, current, and submitted in good faith.

5. No Warranty; "As Is" and "As Available"

5.1 The Site and Content are provided "as is" and "as available." To the maximum extent permitted by applicable law, AMKM makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of accuracy, completeness, timeliness, non-infringement, merchantability, fitness for a particular purpose, availability, or that access will be uninterrupted or error-free.

5.2 AMKM does not warrant that the Site, servers, or Content are free of viruses, malware, harmful components, or other defects. You are responsible for implementing appropriate safeguards (including antivirus and secure browsing practices).

5.3 Any statements, views, estimates, or forward-looking indications (if any) are provided for context only, may change without notice, and may not reflect current positions.

6. Limitation of Liability

6.1 To the maximum extent permitted by applicable law, AMKM, and its representatives, officers, employees, advisors, contractors, affiliates, and agents (collectively, "AMKM Parties") shall not be liable for any loss or damage of any kind arising out of or in connection with:

  • your access to or use of (or inability to access or use) the Site;
  • reliance on any Content;
  • any errors, omissions, interruptions, delays, defects, or failures in performance;
  • any unauthorized access to or use of systems, data, or transmissions;
  • any third-party websites, content, or services linked to or referenced by the Site.

6.2 To the maximum extent permitted by applicable law, in no event shall any AMKM Party be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages, or for any loss of profits, revenue, goodwill, business, opportunities, or data, even if advised of the possibility of such damages.

6.3 Where liability cannot be excluded under applicable law, it shall be limited to the minimum extent permitted.

7. Intellectual Property; Restrictions on Use

7.1 The Site and Content (including text, layout, graphics, images, logos, marks, design elements, and compilation) are owned by or licensed to AMKM and are protected by applicable intellectual property laws.

7.2 Except for limited, personal, non-commercial viewing of the Site, you may not, without AMKM's prior written consent:

  • copy, reproduce, republish, transmit, distribute, display, modify, translate, or create derivative works from the Site or Content;
  • use the Site or Content for commercial purposes;
  • remove or obscure proprietary notices;
  • use any AMKM name, trademarks, logos, or identifiers.

7.3 Nothing on the Site grants you any license or right to use any intellectual property of AMKM except as expressly stated in these Terms.

8. Acceptable Use; Security

8.1 You agree not to:

  • misuse the Site, interfere with its operation, or attempt unauthorized access to any portion of the Site or related systems;
  • introduce malware or malicious code;
  • engage in scraping, automated harvesting, or systematic extraction of data from the Site without written permission;
  • use the Site in a manner that is unlawful, misleading, defamatory, or infringes third-party rights.

8.2 AMKM may implement security measures and may monitor access for security, integrity, and operational purposes. Any such measures do not create any obligation to monitor, nor any liability for failure to detect or prevent unauthorized activity.

9. Third-Party Links and Content

9.1 The Site may include links to third-party websites or content for convenience. AMKM does not control, endorse, or assume responsibility for third-party content, policies, accuracy, availability, or security.

9.2 Accessing third-party websites is at your own risk. You should review the terms and privacy policies of any third-party sites you visit.

10. Privacy; Cookies; Data Handling

10.1 Any personal data submitted through the Site will be handled in accordance with AMKM's Privacy and Cookie disclosures as presented on the Site (as applicable). You should review those notices before submitting information.

10.2 You should not submit sensitive personal data or confidential documents at the initial inquiry stage.

10.3 AMKM does not sell personal information. Inquiry data may be retained internally for governance, continuity, and security purposes.

11. No Public Commentary; Media

11.1 AMKM does not handle media requests through the Site's engagement channel and does not comment publicly on inquiries, counterparties, or engagements.

12. Reservation of Rights

AMKM reserves the right, at its sole discretion and without notice, to:

  • modify or discontinue any part of the Site;
  • restrict access to the Site or any feature;
  • reject or disregard any inquiry or Submission;
  • take any action it deems necessary to protect its reputation, security, and standards.

13. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable provision shall be interpreted, to the extent permitted, to best accomplish the original intent.

14. No Waiver

No failure or delay by AMKM in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy.

15. Assignment

You may not assign, transfer, or delegate any rights or obligations under these Terms. AMKM may assign or transfer its rights and obligations under these Terms without restriction.

16. Governing Law and Jurisdiction (Dubai Courts)

16.1 These Terms, and any non-contractual obligations arising out of or in connection with them, the Site, or the Content, shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai.

16.2 The courts of Dubai, United Arab Emirates shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, the Site, or the Content (including any non-contractual disputes or claims).
